1. Quotations and Order Acceptance
Quotations are based on the drawings, models, quantities, materials, finishes, tolerances and inspection requirements supplied by the customer. A quotation is valid for the period stated in it and may be revised if these requirements change.
A purchase order does not bind VELMEC until it has been accepted in writing.
2. Order Documents and Priority
Unless otherwise agreed in writing, the following order of priority applies:
- A signed manufacturing agreement or NDA
- VELMEC’s written order confirmation and quotation
- The approved drawing revision and agreed technical requirements
- These Terms
- The customer’s purchase order terms, only where expressly accepted by VELMEC
The controlled 2D drawing governs dimensions, tolerances, GD&T and technical notes. The 3D model governs nominal geometry. Conflicts between files must be resolved in writing before production.
3. Customer Responsibilities
The customer is responsible for providing accurate files, material specifications, quantities, application requirements and acceptance criteria.
The customer must identify critical dimensions, regulated applications, export-controlled information and special documentation requirements before ordering.
4. Manufacturing Standards and Tolerances
Parts are manufactured according to the approved drawing revision and written order requirements.
Where no dimensioned drawing is supplied, standard tolerances may be applied according to ISO 2768-m. Unless otherwise agreed, unspecified drawing tolerances may follow ISO 2768-f for machined metal parts and ISO 2768-m for machined plastic parts.
Tighter tolerances, special processes and inspection requirements apply only when confirmed in the quotation or order confirmation.
5. Changes and Cancellations
Changes to drawings, materials, quantities, finishes or inspection requirements must be submitted in writing. Changes may affect price, lead time and manufacturability.
Orders may not be cancelled without VELMEC’s written approval after material has been purchased, cut or processed. The customer is responsible for completed work, committed materials and other reasonable costs incurred before cancellation.
6. Prices, Taxes and Duties
Prices cover only the scope stated in the quotation. Unless expressly included, prices exclude taxes, customs duties, import charges, insurance and destination-related fees.
7. Payment
Payment terms are stated in the quotation or invoice. VELMEC may suspend purchasing, production or shipment when an amount is overdue.
Title to finished parts remains with VELMEC until full payment for the applicable order has been received, to the extent permitted by law.
8. Lead Times
Quoted lead times are estimates and begin only after final files, technical requirements, order confirmation and required payment have been received.
A requested or estimated delivery date is not a guaranteed delivery date unless expressly accepted in writing.
9. Shipping and Transfer of Risk
The Incoterm stated in the quotation or order confirmation applies under Incoterms 2020. Risk of loss transfers according to that Incoterm.
Special packaging, insurance or shipping requirements must be agreed before shipment and may involve additional charges.
10. Manufacturing Partners
VELMEC may use qualified manufacturing or finishing partners when required by process, capacity or project scope.
Technical information will be shared only as reasonably necessary to quote, manufacture, inspect or deliver the order. Any customer restriction on subcontracting or file access must be agreed before ordering.
11. Inspection and Documentation
Inspection is performed according to the approved drawing and agreed inspection scope. Requested dimensional reports, material documentation, first-article records or other quality documents must be specified during quotation.
Documentation not included in the accepted quotation may require additional time and cost.
12. Acceptance and Quality Claims
The customer must inspect delivered parts promptly and report any suspected nonconformance within [confirm: 30 calendar days] after delivery.
A claim should identify the affected parts, drawing revision, requirement and supporting measurement evidence. Parts must not be modified, assembled or subjected to secondary processing before VELMEC has reviewed the claim.
VELMEC may request the affected parts to be returned for investigation.
13. Corrective Remedies
For a verified manufacturing nonconformance, VELMEC may, at its reasonable discretion, rework the affected parts, manufacture replacements, issue an agreed credit or refund the amount paid for those affected parts.
VELMEC is not responsible for failures caused by customer design, incorrect specifications, unsuitable material selection, misuse, unauthorized modification or processing performed after delivery.
14. Intellectual Property and Confidentiality
The customer retains ownership of its drawings, models and product designs. The customer confirms that it has the right to supply and authorize the use of those files.
VELMEC retains ownership of its manufacturing knowledge, quotations, process planning, fixtures and methods unless otherwise agreed.
NDA requirements and secure file-transfer arrangements should be completed before highly confidential information is submitted.
15. Restricted and Controlled Projects
The customer must not submit unlawful content or controlled technical data without prior written disclosure and approval.
VELMEC may reject projects involving weapons, prohibited end uses, sanctioned parties or manufacturing that requires licenses or compliance capabilities not expressly accepted in writing.
16. Limitation of Liability
To the extent permitted by law, VELMEC is not liable for indirect, incidental, consequential, punitive or loss-of-profit damages.
VELMEC’s total liability relating to an order will not exceed the amount paid for the affected order, except where such limitation is prohibited by applicable law.
17. Force Majeure
VELMEC is not liable for delays caused by events beyond reasonable control, including natural disasters, government actions, transport disruption, utility failures, epidemics, labor interruption or material shortages.
18. Termination
Either party may terminate an order where the other party materially breaches its obligations and fails to remedy the breach within a reasonable written notice period.
Termination does not remove the customer’s obligation to pay for completed work, committed materials and authorized costs already incurred.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of [confirm jurisdiction].
Any dispute not resolved through good-faith negotiation will be submitted to [confirm court or arbitration institution and city]. The United Nations Convention on Contracts for the International Sale of Goods applies only if expressly agreed in writing.
20. Updates and Contact
VELMEC may update these Terms for future orders. The version in effect on the date of written order confirmation applies to that order.
Questions about these Terms may be sent through the VELMEC Contact page.
